Common use of Consent to Conveyance Clause in Contracts

Consent to Conveyance. Subject to the terms and conditions set forth in this Agreement, Lender consents to the sale, conveyance, assignment and transfer of the membership interests in Borrower by Original Member to Assuming Member. Lender’s consent to such transfer shall, however, not constitute its consent to any subsequent transfers of the membership interests in Borrower. Original Member hereby acknowledges and agrees that the foregoing release shall not be construed to release Original Member from any liability under any of the Loan Documents for any acts or events occurring or obligations arising prior to or simultaneously herewith.
