Common use of Consent to Jurisdiction and Service; Waivers Clause in Contracts

Consent to Jurisdiction and Service; Waivers. Each of the FW Entities hereby irrevocably submits to the exclusive jurisdiction of any state or federal court sitting in the borough of Manhattan, City of New York, State of New York in respect of any action, proceeding or counterclaim arising out of or relating to this Agreement and irrevocably agrees that all claims and defenses in respect of any such suit, action or proceeding may be heard and determined in any such court. Each of the FW Entities irrevocably waives, to the fullest extent it may effectively do so under applicable law, any objection which it may now or hereafter have to the laying of the venue of any such suit, action or proceeding arising out of or relating to this Agreement brought in any such court and any claim that any such suit, action or proceeding brought in any such court has been brought in an inconvenient forum. Service of process may be effected by making process, by registered mail return receipt requested, to the FW Entities, at the address set forth above with a copy to CT Corporation, 000 Xxxxxx Xxxxxx, Xxx Xxxx, XX 00000, as agent for service of process for the FW Entities. Nothing in this Section 14 shall affect the right of Rothschild, any of its affiliates or any Indemnified Party to serve process in any manner prescribed by law.
