Consent to Jurisdiction; Appointment of Agent to Accept Service of Process. (a) The Guarantor irrevocably consents and agrees that any legal action, suit or proceeding against it with respect to any matter arising out of or based upon this Agreement may be brought in the courts of the State of New York located in The City of New York or the courts of the United States of America located in The City of New York and hereby irrevocably consents and submits to the non-exclusive jurisdiction of each such court in personam, generally and unconditionally with respect to any such action, suit or proceeding.

(a) The Guarantor irrevocably consents and agrees (i) that any legal action, suit or proceeding against it with respect to its obligations, liabilities or any other matter arising out of or based upon in connection with this Guarantee Agreement may be brought in the courts of any federal or state court in the State of New York located in The City York, County of New York or the courts of the United States of America located in The City of New York York, and hereby (ii) to file such consents with such authorities as may be required to irrevocably consents and submits to the non-exclusive jurisdiction of each evidence such court in personam, generally and unconditionally with respect to any such action, suit or proceedingagreement.
