Consent to Jurisdiction; Appointment of Agent to Accept Service of Process. (a) Each of the Issuer, Interstar and the Trust Manager hereby submits to the non-exclusive jurisdiction of the United States Federal and state courts in the Borough of Manhattan in The City of New York in any suit or proceeding arising out of or relating to this Agreement or the transactions contemplated hereby. Each of the Issuer, Interstar and the Trust Manager irrevocably appoints CT Corporation, 000 Xxxxxx Xxxxxx, 00xx Xxxxx, Xxx Xxxx, Xxx Xxxx 00000, as its authorized agent in the Borough of Manhattan in The City of New York upon which process may be served in any such suit or proceeding, and agrees that service of process upon such agent, and written notice of said service to it by the person servicing the same, shall be deemed in every respect effective service of process upon it in any such suit or proceeding. Each of the Issuer, Interstar and the Trust Manager further agrees to take any and all action as may be necessary to maintain such designation and appointment of such agent in full force and effect for so long as the Offered Notes are outstanding.

Each of the Issuer, Interstar Members Equity Parties and the Trust Manager Issuer Trustee irrevocably appoints CT Corporation, 000 Xxxxxx Xxxxxx, 00xx Xxxxx, Xxx Xxxx, Xxx Xxxx 00000, as its authorized agent in the Borough of Manhattan in The City of New York upon which process may be served in any such suit or proceeding, and agrees that service of process upon such agent, and written notice of said service to it by the person servicing serving the samesame to the address provided in Section 17, shall be deemed in every respect effective service of process upon it in any such suit or proceeding. Each of the Issuer, Interstar Members Equity Parties and the Trust Manager Issuer Trustee further agrees to take any and all action as may be necessary to maintain such designation and appointment of such agent in full force and effect for so long as the Offered Class A1 Notes are remain outstanding.
