CONSENT TO JURISDICTION; MUTUAL WAIVER OF JURY TRIAL. SERVICE OF PROCESS; GOVERNING LAW; SOVEREIGN IMMUNITY. (a) The terms of Section 12.9 (Consent to Jurisdiction; Mutual Waiver of Jury Trail; Service of Process), Section 12.11 (Governing Law) and Section 12.25 (Waiver of Sovereign Immunity) of the Credit Agreement with respect to submission to jurisdiction, venue, waiver of jury trial, service of process, governing law and waiver of sovereign immunity are incorporated herein by reference, mutatis mutandis (with appropriate adjustments for context), and the parties hereto agree to such terms.
