Common use of Consent to Jurisdiction Service and Venue Waiver of Jury Trial Clause in Contracts

Consent to Jurisdiction Service and Venue Waiver of Jury Trial. (a) With respect to any matters which may be heard before a court of competent jurisdiction under paragraph (c) of the preceding Section 10.15), the Borrowers and their Subsidiaries hereby consent to the jurisdiction and venue of the courts of the Commonwealth of Pennsylvania or of any federal court located in such state, waive personal service of any and all process upon it and consents that all such service of process be made by certified or registered mail directed to the Borrowers or such Subsidiaries at the address provided for in Section 10.1 and service so made shall be deemed to be completed upon actual receipt. The Borrowers and their Subsidiaries hereby waive the right to contest the jurisdiction and venue of the courts located in the Commonwealth of Pennsylvania on the ground of inconvenience or otherwise and, further, waive any right to bring any action or proceeding against the Lender in any court outside the Commonwealth of Pennsylvania. The provisions of this Section 10.16 shall not limit or otherwise affect the right of the Lender to institute and conduct an action in any other appropriate manner, jurisdiction or court.

(a) With respect to any matters which that may be heard before a court of competent jurisdiction under paragraph (c) of the preceding Section 10.15)subsection 12.5.1, the Borrowers Borrower and their its Subsidiaries each hereby consent consents to the jurisdiction and venue of the courts of the Commonwealth of Pennsylvania or of any federal court located in such state, waive waives personal service of any and all process upon it and consents that all such service of process be made by certified or registered mail directed to the Borrowers Borrower or such Subsidiaries Subsidiary at the address provided for in Section 10.1 12.1 above and service so made shall be deemed to be completed upon actual receipt. The Borrowers Borrower and their its Subsidiaries each hereby waive waives the right to contest the jurisdiction and venue of the courts located in the County of Philadelphia, Commonwealth of Pennsylvania on the ground of inconvenience or otherwise and, further, waive waives any right to bring any action or proceeding against (a) the Lender Agent in any court outside the County of Philadelphia, Commonwealth of Pennsylvania, or (b) any other Senior Secured Party other than in a state within the United States designated by such Senior Secured Party. The provisions of this Section 10.16 subsection 12.5.2 shall not limit or otherwise affect the right of the Lender Agent or any Senior Secured Party to institute and conduct an action in any other appropriate manner, jurisdiction or court.

The Borrowers Each of the Company and their its Subsidiaries hereby waive waives the right to contest the jurisdiction and venue of the courts located in the county of Philadelphia, Commonwealth of Pennsylvania on the ground of inconvenience or otherwise and, further, waive waives any right to bring any action or proceeding against (a) the Lender Agent in any court outside the county of Philadelphia, Commonwealth of Pennsylvania, or (b) any other Lender other than in a state within the United States designated by such Lender. The provisions of this Section 10.16 11.9 shall not limit or otherwise affect the right of the Agent, any Lender or other Senior Secured Party to institute and conduct an action in any other appropriate manner, jurisdiction or court.
