CONSENT TO JURISDICTION; SERVICE OF PROCESS AND VENUE. Any legal action or proceeding with respect to this Agreement or any related document may be brought in the courts of the State of Utah in the County of Salt Lake or in the United States District Court for the District of Utah, and, by execution and delivery of this Agreement, the parties hereby irrevocably accept in respect of their property, generally and unconditionally, the jurisdiction of the aforesaid courts.
