CONSENT TO JURISDICTION; SERVICE OF PROCESS AND VENUE. Any legal action or proceeding with respect to this Agreement or any related document may brought in the courts of Utah in the County of Xxxxx, or in the United States District Court for the Northern District of Utah, and, by execution and delivery of this Agreement, the parties hereby irrevocably accept in respect of their property, generally and unconditionally, the jurisdiction of the aforesaid courts.
