Borrower agrees and consents to Lender’s 's sale or transfer, whether now or later, of one or more participation interests in the Loan Loans to one or more purchasers, whether related or unrelated to Lender. Lender may provide, without any limitation whatsoever, to any one or more purchasers, or potential purchasers, any information or knowledge Lender may have about Borrower or about any other matter relating to the Loan, and Borrower hereby waives any rights to privacy Borrower it may have with respect to such matters. Borrower additionally waives any and all notices of sale of participation interests, as well as all notices of any repurchase of such participation interests. Borrower also agrees that the purchasers of any such participation interests will be considered as the absolute owners of such interests in the Loan Loans and will have all the rights granted under the participation agreement or agreements governing the sale of such participation interestsinterest. Borrower further waives all rights of offset or counterclaim countercism that it may have now or later against Lender or against any purchaser of such a participation interest and unconditionally agrees that either Lender or such purchaser may enforce Borrower’s 's obligation under the Loan Loans irrespective of the failure or insolvency of any holder of any interest in the LoanLoans. Borrower further agrees that the purchaser of any such participation interests may enforce its interests irrespective of any personal claims or defenses that Borrower may have against Lender.

Consent to Loan Participation. Borrower agrees and consents to LenderBank’s sale or transfer, whether now or later, of one or more participation interests in the Loan Loan(s) to one or more purchasers, whether related or unrelated to LenderBank, as to which Borrower has received sixty (60) days’ prior notice from Bank. Lender Bank may provide, without any limitation whatsoever, to any one or more purchasers, or potential purchasers, any information or knowledge Lender Bank may have about Borrower or about any other matter relating to the LoanLoan(s), and Borrower hereby waives waivers any rights to privacy Borrower may have with respect to such matters. Borrower additionally hereby waives any and all notices of sale of participation interests, as well as all notices of any repurchase of such participation interests. Borrower also agrees that the purchasers of any such participation interests will be considered as the absolute owners of such interests in the Loan Loan(s) and will have all the rights granted under the participation agreement or agreements agreement(s) governing the sale of such participation interests. Borrower further waives all rights of offset or counterclaim that it may have counterclaim, whether now existing or later hereafter arising, against Lender Bank or against any purchaser of such a participation interest and unconditionally agrees that either Lender Bank or such purchaser may enforce Borrower’s obligation under the Loan Loan(s) irrespective of the failure or insolvency of any holder of any interest in the LoanLoan(s). Borrower further agrees that the purchaser of any such participation interests interest may enforce its interests interest irrespective of any personal claims or defenses that Borrower may have against LenderBank. Any purchaser of a participation interest in the Loan(s) may exercise a right of setoff against Borrower to the same extent as Bank has such right.

Borrower further agrees that the purchaser of any such participation interests interest may enforce its interests irrespective of any personal claims or defenses that Borrower may have against Lender.

Borrower further agrees that the purchaser of any such participation interests may enforce its interests irrespective of any personal claims or defenses that Borrower may have against Lender.

Lender may provide, provide without any limitation whatsoever, whatsoever to any one or more purchasers, purchasers or potential purchasers, purchasers any information or knowledge Lender may have about Borrower or about any other matter relating to the Loan, Loan and Borrower hereby waives any rights to privacy Borrower it may have with respect to such matters. Borrower additionally waives any and all notices of sale of participation interests, interests as well as all notices of any repurchase of such participation interests. Borrower also agrees that the purchasers of any such participation interests will be considered as the absolute owners of such interests in the Loan Loans and will have all the rights granted under the participation agreement or agreements governing the sale of such participation interests. Borrower further waives all rights of offset or counterclaim that it may have now or later against Lender or against any purchaser of such a participation interest and unconditionally agrees that either Lender or such purchaser may enforce Borrower’s Borrowers obligation under the Loan Loans irrespective of the failure or insolvency of any holder of any interest in the LoanLoans. Borrower further agrees that the purchaser of any such participation interests interest may enforce its interests irrespective of any personal claims Claims or defenses that Borrower may have against Lender.

Consent to Loan Participation. Borrower agrees and consents to Lender’s sale or transfer, whether now or later, of one or more participation interests in the Loan Loans to one or more purchaserspurchasers or other transferees, whether related or unrelated to Lender. No such purchaser or transferee shall be considered a third-party beneficiary of this Agreement. Lender may provide, without any limitation whatsoever, whatsoever to any one or more purchaserssuch purchasers or transferees, or potential purchaserspurchasers or transferees, any information or knowledge Lender may have about Borrower or about any other matter relating to the Loan, and provided such purchasers or transferees shall agree to keep such information confidential in accordance with the provisions of this Agreement. Borrower hereby waives any rights to privacy Borrower may shall have no obligations with respect to any information Lender provides to such matterspurchaser(s) or transferee(s). Borrower additionally waives any and all notices of sale of participation interests, as well as all notices of any repurchase of such participation interests. Borrower also agrees that the purchasers of any such participation interests will be considered as the absolute owners of such interests in the Loan Loans and as against Lender, will have all the rights granted under the participation agreement or agreements governing the sale of such participation interests. Borrower further waives all rights of offset or counterclaim that it may have now or later against Lender or against any purchaser of such a participation interest and unconditionally agrees that either Lender or such purchaser may enforce Borrower’s obligation under the Loan irrespective of the failure or insolvency of any holder of any interest in the Loan. .. Borrower further agrees that as against Lender, the purchaser of any such participation interests may enforce its interests irrespective of any personal claims or defenses that Borrower may have against Lender. Notwithstanding any other term of this subparagraph 14 d., Borrower may deal with Xxxxx Xxxx and Xxx X’Xxxxxx, agents of Lender, or their successors or agents as they may designate and Borrower does not have to deal directly with any such participants.

Borrower further waives all rights of offset or counterclaim that it may have now or later against Lender or against any purchaser of such a participation interest and unconditionally agrees that either Lender or such purchaser may enforce Borrower’s obligation under the Loan irrespective of the failure or insolvency of any holder of any interest in the Loan. Borrower further agrees that the purchaser of any such participation interests may enforce its interests irrespective of any personal claims or defenses that Borrower may have against Lender.

Lender Bank may provide, without any limitation whatsoever, to any one or more purchasers, or potential purchasers, any information or knowledge Lender Bank may have about any Borrower or about any other matter relating to the Loan, and each Borrower hereby waives any rights to privacy a Borrower may have with respect to such matters. Each Borrower additionally hereby waives any and all notices of sale of participation interests, as well as all notices of any repurchase of such participation interests. Each Borrower also agrees that the purchasers of any such participation interests will be considered as the absolute owners of such interests in the Loan and will have all the rights granted under the participation agreement or agreements agreement(s) governing the sale of such participation interests. Each Borrower further waives all rights of offset or counterclaim that it may have counterclaim, whether now existing or later hereafter arising, against Lender Bank or against any purchaser of such a participation interest and unconditionally agrees that either Lender Bank or such purchaser may enforce each Borrower’s obligation under the Loan irrespective of the failure or insolvency of any holder of any interest in the Loan. Borrower additionally waives any and all notices of sale of participation interests, as well as all notices of any repurchase repurchases of such participation interests. Borrower Xxxxxxxx further agrees that the purchaser of any such participation interests may enforce its interests irrespective of any personal claims or defenses that Borrower may have against LenderXxxxxx.

Borrower additionally waives any and all notices of sale of participation interests, as well as all notices of any repurchase of such participation interests. Borrower also agrees that the purchasers of any such participation interests will be considered as the absolute owners of such interests in the subject Loan and will have all the rights granted under the participation agreement or agreements governing the sale of such participation interests. Borrower further waives all rights of offset or counterclaim that it may have now or later against Lender or against any purchaser of such a participation interest and unconditionally agrees that either Lender or such purchaser may enforce Borrower’s obligation under the subject Loan irrespective of the failure or insolvency of any holder of any interest in the subject Loan. Borrower further agrees that the purchaser of any such participation interests may enforce its interests irrespective of any personal claims or defenses that Borrower may have against Lender.

Consent to Loan Participation. Borrower agrees and consents to Lender’s 's sale or transfer, whether now or later, of one or more participation interests in the Loan to one or more purchasers, whether related or unrelated to Lender. Lender may provide, without any limitation whatsoever, to any one anyone or more purchasers, or potential purchasers, any information or knowledge Lender may have about Borrower or about any other matter relating to the Loan, and Borrower hereby waives any rights to privacy Borrower may have with respect to such matters. Borrower also agrees that the purchasers of any such participation interests will be considered as the absolute owners of such interests in the Loan and will have all the rights granted under the participation agreement or agreements governing the sale of such participation interests. Borrower further waives all rights of offset or counterclaim that it may have now or later against Lender or against any purchaser of such a participation interest and unconditionally agrees that either Lender or such purchaser may enforce Borrower’s 's obligation under the Loan irrespective of the failure or insolvency of any holder of any interest in the Loan. Borrower further agrees that the purchaser of any such participation interests may enforce its interests irrespective of any personal claims or defenses that Borrower may have against Lender.

Borrower additionally waives any and all notices of sale of participation interests, as well as all notices of any repurchase of such participation interests. Borrower also agrees that the purchasers of any such participation interests will be considered as the absolute owners of such interests in the Loan and will have all the rights granted under the participation agreement or agreements governing the sale of such participation interests. Borrower further waives all rights of offset or counterclaim that it may have now or later against Lender or against any purchaser of such a participation interest and unconditionally agrees that either Lender or such purchaser may enforce Borrower’s 's obligation under the Loan irrespective of the failure or insolvency of any holder of any interest in the Loan. Borrower further agrees that the purchaser of any such participation interests may enforce its interests irrespective of any personal claims or defenses that Borrower may have against Lender.

Lender Council may provide, without any limitation whatsoever, to any one or more purchasers, or potential purchasers, any information or knowledge Lender Council may have about Borrower or about any other matter relating to the Loan, and Borrower hereby waives any rights to privacy Borrower or confidentially it may have with respect to such matters. Borrower additionally waives any and all notices of sale of participation interests, as well as all notices of any repurchase of such participation interests. Borrower also agrees that the purchasers of any such participation interests will be considered as the absolute owners of such interests in the Loan and will have all the rights granted under the participation agreement or agreements governing the sale of such participation interests. Borrower further waives all rights of offset or counterclaim that it may have now or later against Lender Council or against any purchaser of such a participation interest and unconditionally agrees that either Lender Council or such purchaser may enforce Borrower’s 's obligation under the Loan irrespective of the failure or insolvency of any holder of any interest in the Loan. Borrower further agrees that the purchaser of any such participation interests may enforce its interests irrespective of any personal claims or defenses that Borrower may have against LenderCouncil.

Borrower further agrees that the purchaser of any such participation interests may enforce its interests irrespective of any personal claims or defenses that Borrower may have against Lender.

Borrower further waives all rights of offset or counterclaim that it may have now or later against Lender or against any purchaser of such a participation interest and unconditionally agrees that either Lender or such purchaser may enforce Borrower’s 's obligation under the Loan Loans irrespective of the failure or insolvency of any holder of any interest in the LoanLoans. Borrower further agrees that the purchaser of any such participation interests Interests may enforce its interests irrespective of any personal claims or defenses that Borrower may have against Lender.

The Lender may provide, without any limitation whatsoever, to any one or more purchasers, or potential purchasers, any information or knowledge Lender may have about Borrower or about any other matter relating to the LoanTerm Loans, and Borrower hereby waives any rights to privacy Borrower may have with respect to such matters. Borrower additionally waives any and all notices of sale of participation interests, as well as all notices of any repurchase of such participation interests. Borrower Bxxxxxxx also agrees that the purchasers Lenders of any such participation interests will be considered as the absolute owners of such interests in the Loan Term Loans and will have all the rights granted under the participation agreement or agreements governing the sale of such participation interests. Borrower further waives all rights of offset or counterclaim that it may have now or later against Lender or against any purchaser of such a participation interest and unconditionally agrees that either Lender or such purchaser may enforce Borrower’s obligation Bxxxxxxx's Obligations under the Loan Term Loans irrespective of the failure or insolvency of any holder of any interest in the LoanTerm Loans. Borrower Bxxxxxxx further agrees that the purchaser Lender of any such participation interests may enforce its interests irrespective of any personal claims or defenses that Borrower may have against LenderLxxxxx.
