Consent to Termination. Solely with respect to determining the level of benefits payable under the D&B Nonqualified Plans, Cognizant and ACNielsen shall have the authority to consent to the termination of employment prior to age 60 of a Cognizant or ACNielsen Nonqualified Plan Participant from the Cognizant Group or the ACNielsen Group (as the case may be).
