Consents, Agreements. The Company and the Purchaser shall have obtained from the Department of Commerce and Insurance of the State of Tennessee an Order of Exemption from the provisions of Tennessee Code Annotated Section 56-11-203 with respect to this Agreement and the transactions contemplxxxx xx xhis Agreement; and the Company and the Purchaser shall have obtained from the Department of Insurance of the State of Louisiana an Order of Exemption from the provisions of Louisiana Code LFA-R.S. 22:1004 E(2) (a) with respect to this Agreement and the transactions contemplated by this Agreement. Such Orders of Exemption shall be in form and scope satisfactory to the Company and shall be in full force and effect on the Closing Date. The Direct Companies shall have obtained all other consents and waivers of governmental authorities and any other Person necessary in connection with the transactions contemplated by this Agreement, and such consents and waivers shall be in full force and effect on the Closing Date.
