Common use of Consents and Approvals; Authority Relative to this Agreement Clause in Contracts

Consents and Approvals; Authority Relative to this Agreement. (a) Except under the HSR Act and the NASD Rules and except as set forth on Schedule 4.3, no consent, authorization or approval of, filing or registration with, or cooperation from, any Governmental Authority or any other Person is necessary in connection with the execution, delivery and performance by Purchaser of this Agreement and its Related Agreements and the consummation of the transactions contemplated hereby and thereby.

(a) Except under the HSR Act and the NASD Rules and except as set forth on Schedule 4.33.3(a), no consent, authorization or approval of, filing or registration with, waiver of any option or right of first refusal or first offer from, or cooperation from, any Governmental Authority or any other Person is necessary in connection with the execution, delivery and performance by Purchaser Sellers of this Agreement and its or their respective Related Agreements and or the consummation of the transactions contemplated hereby and or thereby.

(a) Except under the HSR Act and the NASD Rules and except as set forth on Schedule 4.33.3(a) and filings required under --------------- the HSR Act, no consent, permit, authorization or approval of, filing or registration with, or cooperation from, any Governmental Authority or any other Person not a party to this Agreement (individually and collectively a "Consent") is necessary in connection with the execution, delivery and performance by Purchaser the Seller and the Company of this Agreement and its Agreement, the Related Agreements and or the consummation of the transactions contemplated hereby and or thereby.
