Common use of Consents and Approvals of Government Authorities Clause in Contracts

Consents and Approvals of Government Authorities. To the best knowledge of MSGI after conducting diligent inquiry, except for the requirements of (a) the Securities Act of 1933, as amended (the "Securities Act"), (b) the filing and recordation of the Certificate of Merger as required by the DGCL and (c) the filing and recordation of Articles of Merger and certain other instruments as required by the BCA, no consent, approval or authorization of, or declaration, filing or registration with, any governmental or regulatory authority, United States or foreign, is required in connection with the execution, delivery and performance of this Agreement by MSGI and the consummation of the transactions contemplated hereby.
