Consents and Approvals of Governmental Authorities. Except as set -------------------------------------------------- forth on Schedule 4.3 or as contemplated by the Merger or this Agreement, no consent, approval, order or authorization of, or registration, declaration or filing with, any Governmental Entity is required to be obtained or made by Company in connection with the execution, delivery and performance of this Agreement by Company or the consummation of the transactions contemplated hereby.
