Common use of Consents and Approvals of Governmental Authorities Clause in Contracts

Consents and Approvals of Governmental Authorities. Except as disclosed in SCHEDULE 4.12, no consent, approval or authorization of, or declaration, filing or registration with, any governmental or regulatory authority is required to be made or obtained by Sellers in connection with the execution, delivery and performance of this Agreement by Sellers and the transactions contemplated hereby.

Consents and Approvals of Governmental Authorities. Except as disclosed for the consents and approvals listed in SCHEDULE 4.12Schedule 7.1, no consent, approval or authorization of, or declaration, filing or registration with, any governmental or regulatory authority is required to be obtained or made or obtained by Sellers Buyer in connection with the Buyer's execution, delivery and performance of this Agreement by Sellers and the consummation of the transactions contemplated herebyherein by Buyer.

Except as disclosed for the consents and approvals listed in SCHEDULE 4.12Section 5.02 below, no consent, approval or authorization of, or declaration, filing or registration with, any governmental or regulatory authority is required to be obtained or made by the Seller or obtained by Sellers TICA in connection with the Seller’s execution, delivery and performance of this Agreement by Sellers and the consummation of the transactions contemplated herebyherein by the Seller.

Except as disclosed in SCHEDULE 4.12set forth on Schedule 5.02, no consent, approval or authorization of, or declaration, filing or registration with, any governmental or regulatory authority is required to be made on the part of Seller or obtained by Sellers Penril in connection with the execution, delivery and performance of this Agreement by Sellers and or the consummation of the transactions contemplated hereby.

Except as disclosed set forth and described in SCHEDULE 4.12Schedule 5.04, no consent, approval or authorization of, or declaration, filing or registration with, any governmental or regulatory authority is required to be made or obtained by any of Sellers or Seller’s Affiliates, the Licensed Businesses or Maco in connection with the execution, delivery and performance of this Agreement by Sellers and the transactions contemplated herebyClosing Documents by each of Sellers.

Except as disclosed in SCHEDULE 4.12set forth on Schedule 6.2, no consent, approval or authorization of, or declaration, filing or registration with, any governmental or regulatory authority is required to be made or obtained by Sellers in connection with the execution, execution or delivery and performance of this Agreement by Sellers and the consummation of the transactions contemplated herebyhereby by the Investor, or the issue or delivery of the Investor Notes by the Investor.
