Consents and Approvals; Transfer. No permit, consent, approval or authorization of, or declaration, filing or registration with, any Governmental Authority or other third party is or will be necessary to be made or obtained by MDI in connection with (i) the execution and delivery by MDI of this Agreement, (ii) the consummation by it of the transactions contemplated under this Agreement, or (iii) the performance by MDI of its obligations under this Agreement except as set forth herein.
