Common use of Consents and Filings; Non Contravention Clause in Contracts

Consents and Filings; Non Contravention. Other than as detailed in Schedule 3.1(e) hereof, and subject to the required approvals under Section 350 of the Companies Law the execution, delivery and performance of this Agreement and any other Transaction Document (in accordance with their respective terms) to which Seller is a party, by the Seller and the consummation of the transactions contemplated hereby and thereby will not result in any violation of or be in conflict with or constitute, with or without the passage of time or giving of notice, a default under, or require any Consent of any Person pursuant to, (a) any provision of the Seller’s or any of the BComm Companies’ Organizational Documents, (b) any Order, Permit or Contract to which it or any of the BComm Companies is a party or, to the Knowledge of the Seller, by which it is bound, or would result in the loss of any rights, or the imposition or creation of any Encumbrance upon any assets or properties of the Seller or any of the BComm Companies, under any such Order, Permit or Contract or (c) any provisions of any Legal Requirement applicable to it or any of the BComm Companies.

Other than as detailed in Schedule 3.1(e3.2(e) hereof, hereof and subject to the required approvals under Section 350 of the Companies Law Law, the execution, delivery and performance and, subject to the Shareholders Approval performance, of this Agreement and any other Transaction Document (in accordance with their respective terms) to which Seller it is a party, party by the Seller Company and the consummation of the transactions contemplated hereby and thereby will not result in any violation of or be in conflict with or constitute, with or without the passage of time or giving of notice, a default under, or require any Consent of any Person pursuant to, (ai) any provision of the Seller’s or any of the BComm Companies’ Organizational Documents, (bii) any Order, Permit or Contract to which it or any of the BComm Companies is a party or, to the Knowledge of the Seller, or by which it is bound, or would result in the loss of any rights, or the imposition or creation of any Encumbrance upon any assets or properties of the Seller or any of the BComm Companies, under any such Order, Permit or Contract Contract, or (ciii) any provisions of any Legal Requirement applicable to it or it, any of the BComm CompaniesCompanies or Bezeq (or any of its subsidiaries).
