Common use of Consents and Filings Clause in Contracts

Consents and Filings. No consent, authorization or approval of, or filing with or other act by, any shareholders of Borrower or any governmental authority or other Person is required in connection with the execution, delivery, performance, validity or enforceability of this Agreement or any other Loan Document, the consummation of the transactions contemplated hereby or thereby or the continuing operations of Borrower following such consummation, except (i) those that have been obtained or made, (ii) the filing of financing statements under the Code and (iii) any necessary filings with U.S. Copyright Office and the U.S. Patent and Trademark Office.
