Buyer: (i) will use commercially reasonable efforts to obtain prior to the Closing Date all consents, approvals or authorizations required to be obtained by it for the consummation of the transaction contemplated hereby; and (ii) will publish all notices required by all governmental authorities or agencies required for the execution, delivery and performance by Buyer of this Agreement and the consummation by it of any transaction contemplated hereby.
