Consents, Approvals, and Exercise of Discretion. Whenever this Agreement requires any consent or approval to be given by either party or either party must or may exercise discretion, the parties agree that the consent or approval shall not be immeasurably withheld or delayed and that the discretion shall be reasonably exercised.
