Common use of Consents, Approvals or Waivers Clause in Contracts

Consents, Approvals or Waivers. Except as required under (i) the HSR Act, (ii) filings required pursuant to the rules and regulations of NASDAQ and filings required pursuant to applicable federal and state securities Laws, (iii) the Contributor Required Consents, as set forth on Schedule 4.5 hereto, the execution, delivery and performance of this Agreement and the other Transaction Agreements to be executed by the Contributor Parties will not be subject to any consent, approval or waiver from any Governmental Authority or other third Person, except for consents and approvals of Governmental Authorities that are customarily obtained after a Closing.
