For all purposes of solicit from the Holders any request, direction, consent or other instrument in writing required or permitted by this Indenture and of Agreement to be signed or executed by Bondholders, the proceedings Authority may, at its option, fix in advance a record date for the enforcement hereofdetermination of Holders entitled to give such request, direction, consent or other instrument, but the Authority shall have no obligation to do so. If such a record date is fixed, such person request, direction, consent or other instrument may be given before or after such record date, but only the Holders of record at the close of business on such record date shall be deemed to continue be Holders for the purposes of determining whether Holders of the requisite proportion of Bonds have authorized or agreed or consented to such request, direction, consent or other instrument, and for that purpose the Bonds shall be the holder computed as of such record date; provided that no such consent by the Holders on such record date shall be deemed effective unless it shall become effective pursuant to the provisions of this Agreement no later than twelve (12) months after the record date.
(d) Any request or consent of the Holder of any Bond until shall bind every future Holder of the same Bond or any Bond issued in place thereof in respect of anything done by the Trustee shall have received notice in writing to the contrarypursuance of such request or consent.

(b) The fact of the holding by any person of Bonds transferable by delivery and the amounts and numbers of such Bonds, and the date of the holding of the same, may be proved by a certificate executed by any trust company, bank or bankers, wherever situated, stating that at the date thereof the party named therein did exhibit to an officer of such trust company or bank or to such banker, as the property of such party, the Bonds therein mentioned if such certificate shall be deemed by the Trustee to be satisfactory. The Trustee may, in its discretion, require evidence that such Bonds have been deposited with a bank, bankers or trust company, before taking any action based on such ownership. In lieu of the foregoing, the Trustee may accept other proofs of the foregoing as it shall deem appropriate. For all purposes of this Indenture and of the proceedings for the enforcement hereof, such person shall be deemed to continue to be the holder of such Bond until the Trustee shall have received notice in writing to the contrary.

Consents, etc., of Bondholders. (a) Any consentrequest, requestdemand, authorization, direction, approvalnotice, objection consent, waiver or other instrument required by this Indenture action provided to be executed given or taken by the Bondholders may be embodied in any number and evidenced by one or more instruments of concurrent writings of substantially similar tenor and may be executed signed by such Bondholders in person or by agent duly appointed in writing. Provided; and, howeverexcept as herein otherwise expressly provided, that wherever this Indenture such action shall become effective when such instrument or instruments are delivered to the Financing Agreement requires that any such consent or other action be taken by Trustee, and, where it is hereby expressly required, to the holders of a specified percentage, fraction or majority of Issuer and the Bonds outstanding, any such Bonds held by or for the account of the following persons shall not be deemed to be outstanding hereunder for the purpose of determining whether such requirement has been met: the Issuer, any of its members, the Company, or the directors, trustees, officers or members of the Company. (ab) The fact and date of the execution by any person Person of any such instrument or writing may be proved by the affidavit of a witness of such execution by the certificate of any officer in any jurisdiction who notary public or other official authorized by law has power to take acknowledgments within such jurisdiction of deeds, certifying that the person individual signing such instrument or writing acknowledged before him to such notary public or other official authorized by law to the execution thereof. Where such execution is by an officer of a corporation, a member of a partnership, or by a member or manager of a limited liability company on behalf of such corporation, partnership, or limited liability company such certificate or affidavit shall also constitute sufficient proof of any witness to such executionofficer's authority.
(bc) The fact of the holding by any person ownership of Bonds transferable by delivery and the amounts and numbers of such Bonds, and the date of the holding of the same, may be proved by a certificate executed by any trust company, bank or bankers, wherever situated, stating that at the date thereof the party named therein did exhibit to an officer of such trust company or bank or to such banker, as the property of such party, the Bonds therein mentioned if such certificate shall be deemed conclusively proved for all purposes by the registration books kept by the Trustee as Bond Registrar.
(d) Any request, demand, authorization, direction, notice, consent, waiver or other action by any Bondholder shall bind every future holder of the same Bond (or any Bond issued in exchange thereof or in lieu thereof) in respect of anything done or suffered to be satisfactory. The done by the Trustee mayor the Issuer in reliance thereon, whether or not notation of such action is made upon such Bond.
(e) Any request, demand, authorization, direction, notice, consent, waiver or other action by any Bondholder required, permitted or otherwise contemplated hereunder may be given or withheld by such Bondholder in its sole and absolute discretion, require evidence that such Bonds have been deposited with a bank, bankers or trust company, before taking any action based on such ownership. In lieu of the foregoing, the Trustee may accept other proofs of the foregoing as it shall deem appropriate. For all purposes of this Indenture and of the proceedings for the enforcement hereof, such person shall be deemed to continue to be the holder of such Bond until the Trustee shall have received notice in writing to the contrary.
