Common use of Consents; Governmental Approvals Clause in Contracts

Consents; Governmental Approvals. No consent or approval of any Person, and no consent, license, approval or authorization of, or registration, filing or declaration with, any Governmental Entity is required to be obtained or made by or on behalf of the Company in connection with (i) the execution, delivery or performance of this Agreement and each Related Agreement to which the Company is a party, (ii) the repurchase of the shares of Convertible Preferred Stock provided hereunder, or (iii) the consummation of the transactions contemplated hereby or thereby, except for (A) any such consents, approvals, licenses, authorizations, registrations, filings or declarations that have been duly made or obtained and (B) any pre-Closing or post-Closing filings that may be required to be made under the Exchange Act.

No consent or approval of any Person, and no consent, license, approval or authorization of, or registration, filing or declaration with, any Governmental Entity is required to be obtained or made by or on behalf of the Company such Seller in connection with (i) the execution, delivery or performance of this Agreement and each Related Agreement to which the Company such Seller is a party, (ii) the repurchase sale of the shares of Convertible Preferred Stock by such Seller provided hereunder, or (iii) the consummation by such Seller of the transactions contemplated hereby or thereby, except for (A) any such consents, approvals, licenses, authorizations, registrations, filings or declarations that have been duly made or obtained and (B) any pre-Closing or post-Closing filings that may be required to be made under the Exchange Act.
