Common use of Consents, Licenses and Approvals Clause in Contracts

Consents, Licenses and Approvals. The Administrative Agent shall have received a certificate of a Responsible Officer of the Borrower stating that all consents, authorizations, notices and filings referred to in Schedule 5.4 are in full force and effect or have the status described therein, and the Administrative Agent shall have received evidence thereof reasonably satisfactory to it.

Consents, Licenses and Approvals. The Administrative Agent shall have received a certificate of a Responsible Officer of the Borrower Company stating that all consents, authorizations, notices and filings referred to in Schedule 5.4 are in full force and effect or have the status described therein, and the Administrative Agent shall have received evidence thereof reasonably satisfactory to it.

The Administrative Agent shall have received received, with a counterpart for each Lender, a certificate of a Responsible Officer of the Borrower stating that all consents, authorizations, notices and filings referred to in Schedule 5.4 are in full force and effect or have the status described thereinin such Schedule 5.4, and the Administrative Agent shall have received evidence thereof reasonably satisfactory to it.

The On or prior to the Closing Date, the Administrative Agent shall have received a certificate of a Responsible Officer of the Borrower stating that all consents, authorizations, notices licenses and filings referred to in Schedule subsection 5.4 are in full force and effect or have the status described therein, and the Administrative Agent shall have received evidence thereof reasonably satisfactory to iteffect.
