Consents of Governmental Authorities and Others. No consent, approval or authorization of, or registration, qualification or filing with any federal, state or local governmental or regulatory authority, or any other Person, is required to be made by PARTNERS or the PARTNERS INSIDER in connection with the execution, delivery or performance of this Agreement by PARTNERS or the PARTNERS INSIDER or the consummation by them of the transactions contemplated hereby, excluding the execution, delivery and performance of this Agreement by the Sellers.

No consent, approval or authorization of, or registration, qualification or filing with any federal, state or local governmental or regulatory authority, or any other Person, is required to be made by PARTNERS or the PARTNERS INSIDER SUPERIOR in connection with the execution, delivery or performance of this Agreement by PARTNERS or the PARTNERS INSIDER SUPERIOR or the consummation by them of the transactions contemplated hereby, excluding the execution, delivery and performance of this Agreement by the SellersSUPERIOR.

No consent, approval approval, order or authorization of, or registration, declaration, qualification or filing with any federal, provincial, state or local governmental or regulatory authority, or any other Person, is required to be made by PARTNERS Purchaser or the PARTNERS INSIDER WARP in connection with the execution, delivery or performance of this Agreement by PARTNERS Purchaser or the PARTNERS INSIDER WARP or the consummation by them Purchaser or WARP of the transactions contemplated hereby, excluding the execution, delivery and performance of this Agreement by the Sellers.

No consent, approval or authorization of, or registration, qualification or filing with any federal, state or local governmental or regulatory authority, Governmental Authority or any other Person, Person is required to be made by PARTNERS any of the Sellers or the PARTNERS INSIDER Company in connection with the execution, delivery or performance of this Agreement by PARTNERS or the PARTNERS INSIDER Seller Ancillary Documents or the consummation by them each of the Sellers of the transactions contemplated hereby, excluding the execution, delivery hereby and performance of this Agreement by the Sellersthereby.
