Consents, Permits, and Waivers. On or prior to the Second Closing Date, Purchaser and the Company shall have obtained any and all consents, permits and waivers necessary or appropriate for consummation of the transactions contemplated by this Agreement and the other Transaction Documents (except for such as may be properly obtained subsequent to the Second Closing) unless the failure to obtain such consents, permits or waivers is a result of a breach by the Company. All waiting periods under the HSR Act shall have expired or terminated.
