Common use of Consents; Regulatory Compliance and Approval Clause in Contracts

Consents; Regulatory Compliance and Approval. All Permits and waivers from governmental authorities and other parties necessary or appropriate for the consummation of the transactions contemplated hereby and for the operation of the Business by Buyer (including all required third party consents to the assignment of the Contracts or portions of Contracts to be assumed by Buyer) shall have been obtained. Buyer shall be satisfied that all approvals required under any Regulations to carry out the transactions contemplated by this Agreement shall have been obtained and that the parties shall have complied with all Regulations applicable to this Agreement and the transactions contemplated hereby.
