Consents to Assignment of Contracts and Leases. With respect to each contract or other agreement, including without limitation service contracts and each lease or rental agreement pertaining to real or personal property, to which any of the 1st Financial Companies is a party (including each of the Lease Agreements) and which FCB reasonably believes requires the consent of any other contracting party in connection with or as a result of the Merger, 1st Financial and Mountain 1st will use Commercially Reasonable Efforts to obtain, prior to the Closing, the written consent and estoppel certificate of that other party in a form reasonably satisfactory to FCB.

United will use its best efforts to obtain all required consents to the assignment to FNB of United’s or Alamance Bank’s rights and obligations under any contracts or personal or real property leases, each of which consents shall be in such form as shall be specified by FNB.

With respect to each contract or other agreement, including without limitation each lease or rental agreement pertaining to real or personal property, to which PCCC, PCB or PFS is a party and which FCB reasonably believes requires the consent of any other contracting party in connection with an actual or deemed assignment or transfer of PCCC’s, PCB’s or PFS’s interest or obligation thereunder as a result of the Merger, PCCC and PCB will use their reasonable best efforts to obtain the written consent of that other party to the assignment to FCB of PCCC’s, PCB’s or PFS’s rights and obligations under the agreement, each of which consents shall be in a form reasonably satisfactory to FCB.

With respect to each contract or other agreement (including without limitation each lease or rental agreement pertaining to real or personal property, and each software license) to which any of the SFC Companies are parties and which FCB reasonably believes requires the consent of any other contracting party in connection with an actual or deemed assignment or transfer of the SFC Companies’ interests or obligations thereunder as a result of the Merger, SFC and SNB will use their commercially reasonable efforts to obtain the written consent of the other parties to the assignment to FCB of the SFC Companies’ rights and obligations under the agreement (including, in the case of Lease Agreements pertaining to leased SFC Real Property, estoppel certificates from each of the landlords under those Lease Agreements), each of which consents shall be in a form reasonably satisfactory to FCB.

With respect to each contract or other agreement, including without limitation each lease or rental agreement pertaining to real or personal property (including each of the Real Property Leases), to which Xxxxxxxx or Xxxxxxxx Investment is a party and which BOC reasonably believes requires the consent of any other contracting party in connection with an actual or deemed assignment or transfer of Xxxxxxxx’x or Xxxxxxxx Investment’s interest or obligation thereunder as a result of the Merger, Xxxxxxxx will use its reasonable best efforts to obtain the written consent of that other party to the assignment to BOC of Xxxxxxxx’x or Xxxxxxxx Investment’s rights and obligations under the agreement and, in the case of the Real Property Leases and without regard to any requirement of the lessor’s consent, Xxxxxxxx will use its reasonable best efforts to obtain from each lessor of the property thereunder a landlord’s estoppel certificate, each of which consents or certificates shall be in a form reasonably satisfactory to BOC.

(i) PARA will use commercially reasonable efforts to obtain all required consents to the assignment to SLCT of PARA’s rights and obligations under any contracts, including Tangible Property Leases and IP Licenses, each of which consents shall be in such form as shall be specified by SLCT.
