Consents under Other Loan Documents. Except as otherwise ----------------------------------- provided in Section 12.04 hereof with respect to this Agreement, the Administrative Agent may, with the prior consent of the Majority Lenders (but not otherwise), consent to any modification, supplement or waiver under any of the Loan Documents, provided that, without the prior consent of each Lender, the -------- Administrative Agent shall not (except as provided herein, in the Security Documents or in the Assumption Agreements) release any collateral or otherwise terminate any Lien under any Security Document providing for collateral security, agree to additional obligations being secured by such collateral security (unless the Lien for such additional obligations shall be junior to the Lien in favor of the other obligations secured by such Security Document, in which event the Administrative Agent may consent to such junior Lien provided that it obtains the consent of the Majority Lenders thereto), alter the relative priorities of the obligations entitled to the benefits of the Liens created under the Security Documents, except that no such consent shall be required, and the Administrative Agent is hereby authorized, to release any Lien covering Property that is the subject of either a disposition of Property permitted hereunder or a disposition to which the Majority Lenders have consented.

Notwithstanding the foregoing, except that no such consent shall be required, and the Administrative Agent is hereby authorized, irrevocably ----------------------------- authorized by each of the Lenders to release any Lien covering Property of the Company or any of its Subsidiaries (and to release any such Guarantor) that is the subject of either a disposition of Property permitted hereunder under this Agreement or a disposition to which the Majority Lenders previously have consentedconsented in writing pursuant to Section 11.04 below.
