Common use of Consents, Waivers, Etc Clause in Contracts

Consents, Waivers, Etc. Prior to the Closing, the Shareholders and the Company shall have obtained all consents or waivers, if any, necessary to execute and deliver this Agreement, to sell and issue the Shares and the Notes, and to carry out the transactions contemplated hereby, and all such consents and waivers shall be in full force and effect. All corporate and other action and governmental filings necessary to effect the terms of this Agreement and other agreements and instruments executed and delivered by the Company in connection herewith shall have been made or taken, except for any post-sale filing that may be required under federal and state securities laws. In addition to the documents set forth above, the Company shall have provided the Investors any other information or copies of documents that they may reasonably request.
