Common use of Consequences of a Change in Control Clause in Contracts

Consequences of a Change in Control. In the event of a change in control, the Executive’s entitlements relating to a Change in Control of the Company shall be determined in accordance with the Employment Continuation Agreement, Exhibits B and C of this Employment Agreement and any other post-Effective Date documents relating to Executive benefits upon a change in control of the Company. In no event shall any payments or benefits due the Executive pursuant to the Employment Continuation Agreement be duplicated pursuant to this agreement.

In the event of a change in control, the The Executive’s entitlements relating to a Change in Control of the Company shall be determined in accordance with the Employment Continuation Agreement, Exhibits B and C of this Change in Control Employment Agreement which is attached hereto as Exhibit A. In addition, in the event of a Change in Control, the options referred to in Section 6 shall immediately vest and any other post-Effective Date documents relating to Executive benefits upon a change in control of the Companybecome fully exercisable. In the event of any conflict between this Agreement and the Change in Control Employment Agreement after the occurrence of a Change in Control, the Change in Control Employment Agreement shall control and there shall be no event shall any payments or benefits due the Executive pursuant to the Employment Continuation Agreement be duplicated pursuant to this agreementduplication of benefits.
