Common use of Consequences of Abandonment Clause in Contracts

Consequences of Abandonment. If the Parties abandon the Transaction (whether pursuant to Section 2.03, 2.04, 2.05 or 2.06), Articles III, IV, V and VI of this Agreement will terminate and have no further force or effect, the Parties will not be obligated to consummate any of the Separation Transactions that have not then been consummated, and only this Section 2.07 and Articles I, VII and VIII of this Agreement will remain binding on the Parties and have any further force or effect.
