Consideration and Payment for the Shares. In consideration for the Shares, Purchaser shall pay to Seller a total purchase price of Six Hundred Thousand Dollars ($600,000) plus the amount of cash on hand in the Company as of the Closing Date (the "Purchase Price"), payable by wire transfer to an account of Seller, the coordinates of which shall be supplied to Purchaser not later than three business days prior to the Closing.
