Consideration for Additional REL Shares. In consideration for the issuance of the Additional REL Shares by RECO, each of REL and Solar shall, at the Effective Date, forgive and cancel all promissory notes, obligations and other indebtedness currently owed by RECO to REL or Solar, including but not limited to any obligations that REL or Solar may have incurred on RECO’s behalf (the “Notes”).
