Common use of Consideration for Payments and Remedies Clause in Contracts

Consideration for Payments and Remedies. Except as where Executive’s termination is caused by his death, and without limiting any other remedies available to the Employer, the payments to be made under Paragraphs 5.2, 5.3 or 5.4 (subject to the exceptions stated therein) after the date of termination of Executive’s employment shall be subject to Executive’s execution of the Separation and Consulting Agreement, and Executive’s continued compliance with the Separation and Consulting Agreement and the terms of this Agreement that are effective after termination of Executive’s employment, through the making of the last such payment.
