Common use of CONSIDERATION PROVIDED BY THE EXECUTIVE Clause in Contracts

CONSIDERATION PROVIDED BY THE EXECUTIVE. During the period of his employment hereunder, Executive agrees to serve as President and Chief Executive Officer of the Holding Company. Executive shall render administrative and management services to the Holding Company such as are customarily performed by persons in a similar executive capacity. During said period, Executive also agrees to serve, if elected, as an officer and director of any subsidiary of the Holding Company. Failure to reelect Executive as President and Chief Executive Officer of the Holding Company, failure to reelect Executive as President and Chief Executive Officer of the Bank, or failure to nominate or reelect Executive to the Board of Directors of the Holding Company or the Bank, any without the consent of Executive, shall constitute a breach of this Agreement.

Failure to reelect reappoint Executive as Chairman, President and Chief Executive Officer of the Holding Company, failure to reelect reappoint Executive as Chairman, President and Chief Executive Officer of the Bank, or failure to nominate or reelect Executive to the Board of Directors of the Holding Company or the Bank, any without the consent of Executive, shall constitute a breach of this Agreement.
