CONSISTENT WITH PUBLIC DISCLOSURES. Counterparty represents and agrees that the Transaction and any repurchase of the Shares by Counterparty in connection with the Transaction has been approved by its board of directors and that any such repurchase has been or will be publicly disclosed.
CONSISTENT WITH PUBLIC DISCLOSURES. The Counterparty represents that any Shares acquired pursuant to the Transaction will be made in connection with the Counterparty s Share repurchase program, which was approved by its board of directors and publicly announced, solely for the purposes stated in such board resolution and public disclosure.
