Consolidation, Merger or Disposal of Assets. The Borrower will not, and will not permit any Significant Subsidiary to, (i) merge into or consolidate with any other Person; (ii) liquidate, wind up or dissolve (or suffer any liquidation or dissolution); or (iii) sell, transfer, lease or otherwise dispose of all or substantially all of its Properties to any Person; provided, however, that (A) the Borrower may merge into, or consolidate with, any Person if the Borrower is the surviving entity; (B) any Significant Subsidiary may consolidate with or merge into (1) the Borrower if the Borrower is the surviving entity or (2) any other Subsidiary of the Borrower if the surviving entity is such Significant Subsidiary or a Wholly-Owned Restricted Subsidiary; (C) any Significant Subsidiary may consolidate with or merge into any Person other than the Borrower or another Subsidiary of the Borrower if (1) such Significant Subsidiary is the surviving entity or (2) such other Person is the surviving entity and becomes a Wholly-Owned Restricted Subsidiary contemporaneously with such consolidation or merger; (D) any Significant Subsidiary may liquidate, wind up or dissolve if the Properties of such Significant Subsidiary are conveyed, transferred or distributed pursuant to such liquidation, winding up or dissolution to the Borrower or a Wholly-Owned Restricted Subsidiary; (E) any Significant Subsidiary may sell, transfer, lease or otherwise dispose of all or substantially all of its Properties to the Borrower, to another Wholly-Owned Restricted Subsidiary or to a Person that becomes a Wholly-Owned Restricted Subsidiary contemporaneously with such sale, transfer, lease or other disposition; (F) the Borrower and any Significant Subsidiary may transfer assets in connection with the issuance of Securitization Securities; (G) the Borrower and any Significant Subsidiary may make Permitted JV Asset Transfers and (H) the Borrower and any Significant Subsidiary may enter into transactions permitted under Section 7.2(e); provided that (x) in the case of any transaction described in clauses (A) through (H), immediately before and after giving effect to any such merger or consolidation, dissolution or liquidation, or sale, transfer, lease or other disposition, no Default or Event of Default shall have occurred and be continuing and (y) in the case of any transaction described in foregoing clause (A), (G) or (H) (excluding, in the case of clause (A), any transaction in which any Subsidiary of the Borrower merges into or consolidates with the Borrower), after giving effect to such transaction, the Borrower shall be in pro forma compliance with Section 7.2(a).

The Borrower will not, and And will not permit any Significant Subsidiary to, (i) consolidate with, or merge into or consolidate amalgamate with or into, any other Person; (ii) liquidate, wind up or dissolve itself (or suffer any liquidation or dissolution); or (iii) convey, sell, transfer, lease or otherwise dispose of all or substantially all of its Properties to any Person; provided, however, that nothing contained in this Section 7.2(c) shall prohibit (A) a merger involving Texas Genco or any of its Subsidiaries (collectively, the "Texas Genco Entities") or any other Subsidiary of the Borrower (including mergers to reincorporate or change the domicile of such Texas Genco Entity or other Subsidiary of the Borrower, as the case may merge intobe) if, in the case of any Texas Genco Entity, Texas Genco or consolidate with, any Person if the Borrower is the surviving entity; (B) any Significant Wholly-Owned Subsidiary may consolidate with or merge into (1) the Borrower if of the Borrower is the surviving entity or (2) thereof or, in the case of any other Subsidiary of the Borrower, the Borrower if the surviving entity is such Significant Subsidiary or a Wholly-Owned Restricted SubsidiarySignificant Subsidiary of the Borrower is the surviving entity thereof; (CB) the liquidation, winding up or dissolution of a Texas Genco Entity or any other Significant Subsidiary may consolidate with or merge into any Person other than the Borrower or another Subsidiary of the Borrower if (1) such Significant Subsidiary is the surviving entity or (2) such other Person is the surviving entity and becomes a Wholly-Owned Restricted Subsidiary contemporaneously with such consolidation or merger; (D) any Significant Subsidiary may liquidate, wind up or dissolve if all of the Properties of such Texas Genco Entity or such other Significant Subsidiary Subsidiary, as the case may be, are conveyed, transferred or distributed pursuant to, in the case of any Texas Genco Entity, Texas Genco or any Wholly-Owned Subsidiary of the Borrower or, in the case of any other Significant Subsidiary, the Borrower or a Wholly-Owned Significant Subsidiary of the Borrower; (C) the Disposition of the Texas Genco Stock as permitted under Section 7.2 (e) or of any material portion or all or substantially all (or any lesser portion) of the Properties of any Texas Genco Entity or any other Significant Subsidiary, in the case of any Texas Genco Entity, to such liquidationany other Person (so long as the Borrower complies with Section 4.7), winding up or dissolution or, in the case of any other Significant Subsidiary, to the Borrower or a Wholly-Owned Restricted Subsidiary; (E) any Significant Subsidiary may sell, transfer, lease or otherwise dispose of all or substantially all of its Properties to the Borrower, to another Wholly-Owned Restricted Subsidiary ; or to a Person that becomes a Wholly-Owned Restricted Subsidiary contemporaneously with such sale, transfer, lease or other disposition; (FD) the Borrower and any Significant Subsidiary may transfer of assets in connection with the issuance of Securitization Securities; (G) the Borrower and any Significant Subsidiary may make Permitted JV Asset Transfers and (H) the Borrower and any Significant Subsidiary may enter into transactions permitted under Section 7.2(e); provided that (x) that, in the case of any transaction described in clauses (A) through (H)each case, immediately before and after giving effect to any such merger or consolidationmerger, dissolution or liquidation, or conveyance, sale, transfer, lease or other disposition, no Default or Event of Default shall have occurred and be continuing continuing; provided further that prior to any Texas Genco Entity being merged with and (y) in the case of into any transaction described in foregoing clause (A), (G) or (H) (excluding, in the case of clause (A), any transaction in which any Wholly-Owned Subsidiary of the Borrower merges into or consolidates with the Borrowerthat is not a Texas Genco Entity as permitted under this paragraph (c), after giving effect (x) all of the Capital Stock of such Wholly-Owned Subsidiary shall have been pledged to the Administrative Agent, for the benefit of the Banks, pursuant to a pledge agreement, substantially in the form of Exhibit A, (y) to the extent such transactionshares are certificated, the Borrower shares of Capital Stock pledged pursuant thereto shall have been delivered to the Administrative Agent and (z) any and all other documents as may reasonably be in pro forma compliance with Section 7.2(a)requested by the Administrative Agent to effect such pledge shall have been executed and delivered by the relevant Subsidiary.
