Constitutive Documents; Approvals. The Purchaser shall have received copies of all of the constituent and governing documents of the Seller and resolutions documenting all limited liability company or member proceedings and approvals of the Seller with respect to this Agreement, the other agreements, documents and instruments contemplated in connection herewith and the transactions contemplated hereby and thereby, certified as true and complete by the Secretary of the Seller.
