Construction and Binding Effect. This Agreement shall be construed according to the laws of the State of Delaware, without giving effect to any conflict or choice of law provision, and shall bind the parties, their permitted assigns and their personal representatives.
Construction and Binding Effect. This Lease constitutes the entire agreement of the parties concerning the subject matter hereof and supersedes any prior agreements with respect thereto. This Agreement contains the sole and entire agreement of Licensor and Licensee with respect to the matters contemplated hereunder, and no representation, inducement, promise or agreement, oral or written between Licensor and Licensee which is not incorporated herein shall be of any force or effect. This Agreement shall be binding upon and inure to the benefit of Licensor, its successors and assigns, and upon Licensee and Licensee’s heirs, successors and permitted assigns, as the case may be.
