Common use of Construction of Ambiguity Clause in Contracts

Construction of Ambiguity. The parties acknowledge and agree that the terms and conditions of the Agreement were freely negotiated and drafted by the parties and the parties expressly agree that in the event of any ambiguity in any of the terms and conditions of the Agreement, including any exhibits, schedules and other attachments hereto, and whether or not placed of record, such ambiguity shall not be construed for or against any party hereto on the basis that such party did or did not author the same.
