Common use of Consultant Representations Clause in Contracts

Consultant Representations. Consultant hereby represents to the Company that the execution and delivery of this Agreement by Consultant and the Company and the performance by Consultant of Consultant’s duties hereunder shall not constitute a breach of, or otherwise contravene, the terms of any consulting agreement, employment agreement, or any other agreement or policy to which Consultant is a party or otherwise bound. Consultant further represents that he has consulted with his own independent counsel with respect to the negotiation of, and his decision to enter into, this Agreement and acknowledges that he understands the meaning and effect of each and every term and provision contained herein.

Consultant Representations. Consultant hereby represents and warrants to the Company that the execution execution, delivery and delivery performance of this Agreement by Consultant does not and the Company and the performance by Consultant of Consultant’s duties hereunder shall will not constitute conflict with, breach, violate or cause a breach of, or otherwise contravene, the terms of default under (i) any consulting agreement, employment agreement, contract or any other agreement or policy instrument to which Consultant is a party party, including, but not limited to, any employment, consulting, noncompetition, nonsolicitation, confidentiality or otherwise boundsimilar agreement or arrangement, or (ii) any judgment, order or decree to which Consultant is subject. Consultant further represents acknowledges and understands that he the Company has consulted with his own independent counsel with respect to relied on the negotiation of, and his decision to enter into, foregoing representations in entering into this Agreement and acknowledges that he understands the meaning and effect of each and every term and provision contained hereinAgreement.

Consultant further represents that he has consulted with would prohibit his own independent counsel with respect to the negotiation of, and his decision to enter into, performance under this Agreement and acknowledges that he understands the meaning and effect of each and every term and provision contained hereinAgreement.
