CONSULTANT’S RESPONSIBILITIES. (a) Consultant shall be responsible for the professional quality, technical accuracy and timely completion of Consultant's work, including that performed by Consultant's subconsultants and subcontractors, and including drawings, reports and other services, irrespective of Client's approval of or acquiescence in same. (b) Consultant shall be responsible, in accordance with applicable law, to Client for all loss or damage to Client caused by Consultant's negligent act or omission; except that Consultant hereby irrevocably waives and excuses Client and Client's attorneys from compliance with any requirement to obtain a certificate of review as a condition precedent to commencement of an action, including any such requirements set forth in Section 00-00-000, C.R.S. or similar statute, whether now existing or hereafter enacted. (c) Consultant shall be completely responsible for the safety of Consultant's employees in the execution of work under this Agreement and shall provide all necessary safety and protective equipment for said employees. (d) Consultant acknowledges that time is of the essence with respect to the completion of its services under this Agreement. Consultant represents that Schedule 3 attached hereto is the schedule by which Consultant proposes to accomplish its work, with time periods for which it will commence and complete each major work item. Except to the extent the parties agree to time extensions for delays beyond the control of Consultant, Consultant shall adhere to this schedule and perform its work in a timely manner so as not to delay Client's timetable for achievement of interim tasks and final completion of Project work. Consultant further acknowledges that its schedule has accounted for all reasonably anticipated delays, including those inherent in the availability of tools, supplies, labor and utilities required for the work, the availability of information which must be obtained from any third parties, and all conditions to access to public and private facilities. Consultant further acknowledges that its schedule has accounted for all reasonably anticipated delays, including those inherent in the availability of tools, supplies, labor and utilities required for the work, the availability of information which must be obtained from any third parties, and all conditions to access to public and private facilities.
(e) Before undertaking any work or incurring any expense which Consultant considers beyond or in addition to the Scope scope of the Work described in Schedule 1 or otherwise contemplated by the terms of this AgreementOrder, Consultant shall advise Client in writing that (i) Consultant considers the work beyond the scope of this Agreementthe Work Order, (ii) the reasons that Consultant believes the out of scope or additional work should be performed, and (iii) a reasonable estimate of the cost of such work. Consultant shall not proceed with any out of scope or additional work until authorized in writing by Client. The Client shall negotiate with the Consultant prior to authorizing any additional work; negotiated compensation for such authorized work shall be negotiated, but in based upon the event the parties fail to negotiate or are unable to agree as to compensation, then Consultant shall be compensated for its direct costs and professional time at the rates fee schedule set forth in Schedule 2 attached heretohereto and incorporated herein.
(f) Consultant shall designate a representative who shall have authority to approve and accept Work Orders on behalf of Consultant and prepare bid amounts under Section 3 of this Agreement.

CONSULTANT’S RESPONSIBILITIES. 1.1. Consultant agrees to provide those services for the Project set forth in the Scope of Services described in this Agreement and any other services required by the terms of this Agreement (a) “Services”). Consultant shall be responsible for the professional quality, technical accuracy performance of the Services whether provided directly by Consultant or through the retention of sub-consultants. Consultant shall coordinate its Services with those provided by Owner or any other separate consultant identified by Owner (“Separate Consultants”) and timely completion with any governmental agencies having jurisdiction over the Project or Services to the extent (if any) set forth herein and to the extent necessary for the proper performance of Consultant's work, including that performed by Consultant's subconsultants and subcontractors, and including drawings, reports and other services, irrespective of Client's approval of or acquiescence in samethe Services.
1.2. Consultant warrants that its Services will be suitable for the use intended by Owner, as described in this Agreement. Consultant further warrants that all tests and evaluations shall be performed in accordance with the expertise, care and skill exercised by nationally recognized professionals for projects of comparable size and complexity, using testing equipment and facilities properly and specifically suited for the required tests or evaluations (b) “Standard of Care”).
1.3. Consultant represents that it has reviewed the Scope of Services and fully understands Owner’s requirements with regard to the Services. Consultant shall be responsiblesolely responsible for all work, labor, equipment, materials, testing or any other activities necessary to complete the Services in accordance with applicable lawthe terms and conditions herein. Except as otherwise provided herein, to Client for all loss or damage to Client caused by Consultant's negligent act or omission; except that Consultant hereby irrevocably waives and excuses Client and Client's attorneys from compliance with any requirement to obtain a certificate of review as a condition precedent to commencement of an action, including any such requirements set forth in Section 00-00-000, C.R.S. or similar statute, whether now existing or hereafter enacted.
(c) Consultant shall be completely responsible for obtaining any data or information necessary for the safety performance of Consultant's employees in the execution of work under Services. The compensation for the Services established by this Agreement and shall provide includes compensation for all necessary safety and protective equipment for said employeessuch costs.
(d) 1.4. Consultant shall perform its Services required by this Agreement as expeditiously as practicable, consistent with the Standard of Care and the orderly progress of the Project. Consultant shall confer with Owner to determine a mutually acceptable schedule. Consultant shall complete its services on or before Monday, January 01, 0001. Consultant acknowledges and agrees that time is of the essence essence.
1.5. In connection with respect to the completion of its services under this Agreement. Consultant represents that Schedule 3 attached hereto is the schedule by which Consultant proposes to accomplish its work, with time periods for which it will commence and complete each major work item. Except to the extent the parties agree to time extensions for delays beyond the control of ConsultantServices, Consultant shall adhere meet with and report to this schedule Owner or others designated by Owner and perform its work in a timely manner so at such times as not to delay Client's timetable for achievement of interim tasks and final completion of Project workOwner may reasonably request. Consultant further acknowledges that its schedule has accounted shall be responsible for filing the applications and notices and obtaining all reasonably anticipated delaysnecessary permits for inspection or other governmental approvals (and for paying any required application fees), including those inherent if any are required in connection with performing the availability Services or the issuance of tools, supplies, labor permits and utilities required approvals necessary for performance of the work, the availability of information which must be obtained from any third parties, and all conditions to access to public and private facilitiesServices.
(e) Before undertaking any work 1.6. Consultant and Owner agree that this Agreement is intended to and shall govern all of the Services provided by Consultant, whether initiated or incurring any expense which Consultant considers beyond performed prior or in addition subsequent to the Scope of Work described in Schedule 1 or otherwise contemplated by the terms execution of this Agreement, and that the effective date of this Agreement shall be deemed to be the first date when the Services were so provided by Consultant. All terms and phrases defined in this Agreement shall have the meanings and definitions set forth herein. All words which have well known technical or construction industry meanings are used in this Agreement in accordance with such recognized meanings, unless defined differently herein or the context clearly indicates otherwise. All references to “days” herein shall mean calendar days, unless otherwise specified.
1.7. If applicable to the Services provided hereunder, Consultant agrees to become familiar with and knowledgeable about laws, codes, ordinances, rules, regulations and statutes (“Codes”) governing the Services, and agrees that the Services shall be performed and provided in conformance with such Codes. Consultant agrees to correct or modify promptly any Services and/or Work-Product that do not so comply and at no cost to Owner.
1.8. Consultant acknowledges that its Services and any Work-Product it provides as part of the Services may be used and relied upon by Owner, third-parties retained by Owner for other work and services relating to the Project, or other third parties identified by Owner. Consultant agrees to provide written acknowledgement to such third parties of their right to rely upon the Services or Work-Product upon request by Owner and at no additional cost to Owner or third-party.
1.9. Consultant shall advise Client document the performance of its Services and provide Owner with a comprehensive report of such Services including recommendations, in writing that such form and with such content as required by Owner. Consultant shall retain and preserve all records, data, analyses, calculations and other records related to the Services (“Records”) for five (5) years after completion of the Services. Consultant shall retain and preserve all samples not otherwise consumed as part of the testing or analysis of such samples (“Samples”) until the earlier of (i) Consultant considers one (1) year after the work beyond the scope taking of this Agreement, such Sample; or (ii) the reasons that Consultant believes the out of scope or additional work should be performed, and (iii) a reasonable estimate expiration of the applicable retention time for such Sample. Prior to disposal, Consultant shall notify Owner and provide Owner an opportunity to take possession of the Records or Samples (rather than permit them to be disposed). All Records and Samples shall be made available to Owner upon request.
1.10. If the Services include the investigation, inspection or testing of facilities or property, Consultant shall take appropriate and necessary precautions and measures to avoid damage to existing and adjacent facilities, property or utilities. Consultant shall promptly repair any damage caused by such investigations, inspection or testing and shall restore the affected property or facility to its condition prior to the investigation, inspection or testing at no additional cost of such workto Owner.
1.11. If Consultant encounters any hazardous material, Consultant shall immediately stop work in the affected area and notify Owner. Consultant shall not proceed with any out of scope or additional work until authorized in writing by Client. The compensation for such authorized work shall be negotiated, but thereafter resume activities in the event affected area until the parties fail to negotiate hazardous material has been removed or are unable to agree as to compensation, then rendered harmless. Consultant shall not be compensated responsible for its direct costs the removal or remediation of hazardous material unless so provided in the Scope of Services described in this Agreement or otherwise agreed to by Owner and professional time at the rates set forth Consultant in Schedule 2 attached heretowriting.

CONSULTANT’S RESPONSIBILITIES. (a) § 2.1 The Consultant shall perform its services consistent with the professional skill and care ordinarily provided by professionals practicing in the same or similar locality under the same or similar circumstances. The Consultant shall perform its services as expeditiously as is consistent with such professional skill and care and the orderly progress of the Project. If the standard of care set forth in the Prime Agreement for the Architect’s services differs from the standard of care set forth in this Section for the Consultant’s services, the Consultant shall perform its services consistent with the standard of care in the Prime Agreement.
§ 2.2 The Consultant shall identify a representative authorized to act on behalf of the Consultant with respect to This Portion of the Project, and key personnel who will perform the Consultant’s services. The Consultant shall not replace its identified representative or key personnel without the Architect’s approval, which shall not unreasonably be withheld.
§ 2.3 The Consultant shall recommend to the Architect the appropriate investigations, surveys, tests, analyses, reports, and the services of other consultants that should be obtained for the proper execution of the Consultant’s services. The Consultant shall review the information provided by the Architect and shall promptly notify the Architect if the Consultant needs further information to perform its services.
§ 2.4 The Consultant shall coordinate its services with those of the Architect and other consultants in order to avoid unreasonable delay in the orderly and sequential progress of the Architect’s or other consultants’ services. The Consultant shall coordinate all aspects of its design of the Work for This Portion of the Project with the Work designed by the Architect and other consultants, as necessary for the proper coordination of the Project.
§ 2.5 The Consultant shall provide copies of drawings, reports, specifications, and other necessary information to the Architect and other consultants in the format the Architect requires.
§ 2.6 The Consultant shall not be responsible for the professional qualityacts or omissions of the Architect, technical accuracy and timely completion Architect’s other consultants, Contractor, Subcontractors, their agents or employees, or other persons performing any of the Work. The Consultant shall provide prompt written notice to the Architect if the Consultant becomes aware of any errors, omissions or inconsistencies in the services or information provided by the Architect or other consultants.
§ 2.7 The Consultant shall submit for the Architect’s approval a schedule for the performance of the Consultant's work’s services consistent with the requirements of the Prime Agreement, including that performed by which may be adjusted as the Project proceeds. The Consultant's subconsultants and subcontractors, and including drawings, reports ’s schedule shall allow reasonable time for the Architect and other servicesconsultants to review the Consultant’s submittals. Once approved by the Architect, irrespective of Client's approval of time limits established by the schedule shall not, except for reasonable cause, be exceeded by the Consultant or acquiescence in sameArchitect.
(b) § 2.8 The Consultant shall be responsible, in accordance with applicable law, to Client for all loss or damage to Client caused by Consultant's negligent act or omission; except that Consultant hereby irrevocably waives and excuses Client and Client's attorneys from compliance with any requirement to obtain a certificate of review as a condition precedent to commencement of an action, including any such requirements set forth in Section 00-00-000, C.R.S. or similar statute, whether now existing or hereafter enacted.
(c) Consultant shall be completely responsible maintain the following insurance for the safety of Consultant's employees in the execution of work under this Agreement and shall provide all necessary safety and protective equipment for said employees.
(d) Consultant acknowledges that time is of the essence with respect to the completion of its services under this Agreement. Consultant represents that Schedule 3 attached hereto is the schedule by which Consultant proposes to accomplish its work, with time periods for which it will commence and complete each major work item. Except to the extent the parties agree to time extensions for delays beyond the control of Consultant, Consultant shall adhere to this schedule and perform its work in a timely manner so as not to delay Client's timetable for achievement of interim tasks and final completion of Project work. Consultant further acknowledges that its schedule has accounted for all reasonably anticipated delays, including those inherent in the availability of tools, supplies, labor and utilities required for the work, the availability of information which must be obtained from any third parties, and all conditions to access to public and private facilities.
(e) Before undertaking any work or incurring any expense which Consultant considers beyond or in addition to the Scope of Work described in Schedule 1 or otherwise contemplated by the terms duration of this Agreement.
§ 2.8.1 Commercial General Liability with policy limits of not less than $5,000,000 for each occurrence and $5,000,000. in the aggregate for bodily injury and property damage.
§ 2.8.2 Automobile Liability covering vehicles owned, and non-owned vehicles used, by the Consultant shall advise Client in writing that (i) Consultant considers the work beyond the scope with policy limits of this Agreementnot less than $5,000,000 per accident for bodily injury, (ii) the reasons that Consultant believes the death of any person, and property damage arising out of scope the ownership, maintenance and use of those motor vehicles, along with any other statutorily required automobile coverage.
§ 2.8.3 The Consultant may achieve the required limits and coverage for Comprehensive General Liability and Automobile Liability through a combination of primary and excess or additional work should be performedumbrella liability insurance, provided such primary and excess or umbrella liability insurance policies result in the same or greater coverage as the coverages required under Sections 2.8.1 and 2.8.2, and (iii) a reasonable estimate in no event shall any excess or umbrella liability insurance provide narrower coverage than the primary policy. The excess policy shall not require the exhaustion of the cost of such work. Consultant shall not proceed with any out of scope or additional work until authorized in writing underlying limits only through the actual payment by Client. The compensation for such authorized work shall be negotiated, but in the event the parties fail to negotiate or are unable to agree as to compensation, then Consultant shall be compensated for its direct costs and professional time at the rates set forth in Schedule 2 attached heretounderlying insurers.
