Consummation of Agreement. APP will take all action reasonably necessary to cause the consummation of the transactions contemplated hereby in accordance with their terms and conditions and take all corporate and other action necessary to approve the Merger; provided, however, that this covenant shall not require APP to make any expenditures that are not expressly set forth in this Agreement or otherwise contemplated herein.
