CONSUMMATION OF PERMITTED ACQUISITION. Evidence that the relevant Permitted Acquisition shall have been consummated in all material respects in accordance with the terms of the relevant Purchase Agreement, and the Agent shall have received a certificate of a Responsible Financial Officer of the Company to that effect (and attaching thereto a true and complete copy of the relevant Purchase Agreement).
