Common use of Consummation of Reorganization Clause in Contracts

Consummation of Reorganization. New RIT shall use its best efforts to perform and fulfill all conditions and obligations on its part to be performed or fulfilled hereunder and shall use its best efforts to take, or cause to be taken, all actions, and to do, or cause to be done, all other things necessary, proper or advisable to effect the Reorganization and the other transactions contemplated hereby in accordance with the terms and provisions hereof. New RIT shall not take any action that would prevent consummation of the Reorganization.
