Consummation of Sale of XxXxxxxxx & Xxxxxxx'x. The sale of all of the property formerly owned by XxXxxxxxx & Xxxxxxx Holding Corp. and its Subsidiaries (collectively, the "M&S Disposition") shall have been consummated, which shall have generated net cash proceeds in an amount which is acceptable to the Agents in their discretion.
