Consummation of the Merger. In order to effectuate the Merger, on the Closing Date, Synchronicity shall cause a certificate of merger (the “Certificate of Merger”) to be filed with the Secretary of State of Delaware, in such form as required by, and executed in accordance with, the DGCL.
