Common use of Contact with Customers and Suppliers Clause in Contracts

Contact with Customers and Suppliers. Buyer hereby agrees that it is not authorized to and shall not (and shall not permit any of its employees, agents, representatives or Affiliates to) contact any employee, supplier, distributor, customer or other material business relation of Company or Sub prior to the Closing without the prior written consent of Company, such consent not to be unreasonably withheld, conditioned, or delayed.

Buyer The Purchaser hereby agrees that it is not authorized to and shall not (and shall not permit any of its employees, agents, representatives Representatives or Affiliates (or its Affiliate’s Representatives to) contact any officer, director, employee, suppliercustomer, distributor, customer supplier or other material business relation of the Company or Sub prior to its Subsidiary before the Closing without the prior written consent of the Company, such consent not to be unreasonably withheld, conditioned, or delayedother than in the Purchaser’s ordinary course of business.

Buyer hereby Purchaser acknowledges and agrees that it is not authorized to and shall not (and shall not permit any of its employees, agents, representatives or Affiliates affiliates to) contact any employee, customer, supplier, distributor, customer distributor or other material business relation of the Company or Sub with respect to the transactions contemplated by this Agreement prior to the Closing without the prior written consent of the Company. Without limiting the foregoing, any such consent not to contact by Purchaser shall be unreasonably withheld, conditioned, or delayedaccompanied by a representative of the Company.
