Common use of Contemplated Financing Clause in Contracts

Contemplated Financing. The Contemplated Financing shall have been provided to Newco; provided that the Contemplated Financing does not result in Newco and its Subsidiaries having more than $1,300,000,000 of aggregate Indebtedness outstanding as of the Closing.
