Common use of CONTENT OWNERSHIP AND LICENSE Clause in Contracts

CONTENT OWNERSHIP AND LICENSE. a) Auto-By-Tel will retain all right, title and interest in and to the Content worldwide (including, but not limited to, ownership of all copyrights and other intellectual property rights therein). Subject to the terms and conditions of this Agreement, Auto-By-Tel hereby grants to Excite a royalty-free, nonexclusive, worldwide license to use, reproduce, distribute, transmit and publicly display the Content in accordance with this Agreement and to sublicense the Content to Excite's wholly-owned subsidiaries or to joint ventures in which Excite participates for the sole purpose of using, reproducing, distributing, transmitting and publicly displaying the Content in accordance with this Agreement.

Subject to the terms and conditions of this Agreement, Auto-By-Tel Content Provider hereby grants to Excite a royaltynon-free, nonexclusiveexclusive, worldwide license to use, reproduce, distribute, transmit and publicly display the Content in accordance with this Agreement and to sublicense the Co-Branded Content to Excite's wholly-owned subsidiaries or to joint ventures in which Excite participates for the sole purpose of using, reproducing, distributing, transmitting and publicly displaying the Co-Branded Content in accordance with this Agreement.
